Agreement to Terms

By accessing or using ActFlux ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

Description of Service

ActFlux is a SaaS platform that uses AI to transcribe meetings, extract action items, decisions, and questions, and helps teams stay organized through integrations with calendar and productivity tools.

Account Registration

To use our Service, you must:

• Create an account using Google OAuth
• Provide accurate and complete information
• Maintain the security of your account
• Be at least 13 years old
• Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account.

Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Upload content that violates any laws or third-party rights
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use the Service to spam or harass others
• Reverse engineer or attempt to extract source code
• Share your account credentials with others

Subscription Plans and Payments

Plans

We offer Free, Pro, and Team subscription plans. Plan details and pricing are available on our pricing page.

Billing

• Paid plans are billed monthly or annually in advance
• All payments are processed securely through Stripe
• Prices are subject to change with 30 days notice
• Taxes may apply based on your location

Refunds

We offer a 30-day money-back guarantee for new subscriptions. Refunds are prorated for cancellations within the first 30 days.

Cancellation

You may cancel your subscription at any time from your account settings. Cancellations take effect at the end of the current billing period.

Content and Intellectual Property

Your Content

You retain all rights to the content you upload (meetings, transcripts, etc.). By using our Service, you grant us a limited license to:

• Store and process your content to provide the Service
• Use AI models to transcribe and extract insights
• Display your content back to you and authorized team members

Our Intellectual Property

The Service, including its design, features, and functionality, is owned by ActFlux and is protected by copyright, trademark, and other intellectual property laws.

AI Processing and Accuracy

Our Service uses AI models for transcription and extraction. While we strive for high accuracy, we cannot guarantee 100% accuracy. You should review and verify AI-generated content before relying on it for important decisions.

Data Privacy and Security

We take data security seriously. Please review our Privacy Policy for details on how we collect, use, and protect your data. Key points:

• All data is encrypted in transit and at rest
• We never sell your data to third parties
• You can export or delete your data at any time
• We are SOC 2 compliant

Third-Party Integrations

Our Service integrates with third-party services (Google Calendar, Zoom, etc.). Your use of these integrations is subject to their respective terms of service and privacy policies. We are not responsible for the practices of third-party services.

Service Availability

We strive to provide 99.9% uptime, but we do not guarantee uninterrupted service. We may:

• Perform scheduled maintenance with advance notice
• Experience occasional unplanned downtime
• Modify or discontinue features with notice

Limitation of Liability

To the maximum extent permitted by law, ActFlux shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages resulting from AI inaccuracies
• Third-party actions or content

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold harmless ActFlux from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

Termination

We reserve the right to suspend or terminate your account if you violate these Terms. Upon termination:

• Your access to the Service will be revoked
• You will have 30 days to export your data
• Unpaid fees become immediately due

Dispute Resolution

Any disputes arising from these Terms shall be resolved through:

• Good faith negotiation first
• Binding arbitration if negotiation fails
• Governed by the laws of Delaware, USA

Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or through the Service. Continued use after changes constitutes acceptance.

Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and ActFlux.
